Investing in Bali – information for setting up a company in Bali:

1. PT. PMA (Perusahaan Terbatas Penanaman Modal Asing/Foreign Direct Investment): up to 100% Foreigner Owned Company In Indonesia
– Run full-scale operations in Indonesia
– Foreign ownership up to 100% depending on business classification
– Earn revenue and pay dividends in Indonesia
– Allows director and their dependents to process resident visas (KITAS)
Corporate law states that only large enterprises can be foreign owned. A PT. PMA company requires a minimum of 2 people as the share holder including 1 Director and 1 Commissionaire. This company type requires US$1,000,000 investment plan and a minimum capital requirement for running the business of US$250,000. This company type must register an office address with a commercial building permit (IMB) and 1 foreign director and 5 foreigner staff are allowed using KITAS and working visas. A permanent business license should be processed once the PT. PMA has been created.

2. Local PT. (Perusahaan Terbatas/limited liability company)
This company type requires a minimum of 2 Indonesian citizens as the shareholders and also 1 director and 1 commissioner. This company type must register an office address with a commercial building permit (IMB). This company type requires a minimum capital of US$5,000.

3. CV (unlimited liability company)
This company type requires 2 Indonesian citizens responsible for the company including 1 director and 1 commissioner. This company type must register an office address with a commercial building permit (IMB).

4. UD (Personal company, no partner required)
This company type requires 1 Indonesian citizen responsible for the company and must register an office address with a commercial building permit (IMB).

General company licenses:

SP-PMA (for PT. PMA only): initial approval issued by Investment Coordinating Board (BPKM)

Akta Pendirian (Article Association): Issued by Indonesian public notary

SKTU (local authority approval): Issued by “Klian”, Village chief and district chief

NPWP (tax registration code number): issued by Tax Directorate General Department

Legalise company by Indonesian Law Ministry and HAM

SITU (location permit): issued by regency

SIUP (operation license): issued by trading department

TDP (certificate of registration company: issued by trade and industry department

IUT (permanent business license): issued by Investment Coordinating Board (BKPM) Jakarta for PT. PMA only
